Agreement (3.0)

Mind Your Language Online Services Agreement

This agreement is herein provided in English only.

1. Introduction

This agreement (“the Agreement”) is made between You (“the User”) and Mind Your Language Limited, Unit 903A, 9/F, Yue Xiu Building, 160-174 Lockhart Road, Wanchai, Hong Kong (“MYL” or “the Company”). It sets out the terms and conditions under which MYL offers its online content creation services. By checking the checkbox provided, you affirm that you have read, understood, and agree to the terms of this Agreement unconditionally.

2. Human Editing Services

MYL provides an online English editing service which enables Users to have their English language communication edited by a dedicated professional English editor. The Company agrees to provide the services “the Services” as per the defined scope outlined on our website or as per our written communication with the User.

3. Generative AI Copywriting

MYL also provides an online Copywriting service entitled AI Copywriter which enables Users to brief our platform and have work auto-generated using machine technology. Work requested using AI Copywriter is not proof-read by a human and MYL takes no responsibility for the accuracy of the generated content or its confidentiality.

4. Machine Editing Services

MYL also provides an online English editing service entitled AI Editor which enables Users to send work to via our platform and have it edited using machine technology. Work sent using AI Editor is not proof-read by a human and MYL takes no responsibility for the accuracy of the edited content or its confidentiality.

5. Machine Translation Services

MYL provides an online translation service entitled AI Translate which enables Users to send work to our platform and have it translated using machine technology. Work sent to AI Translate is not proof-read by a human and MYL takes no responsibility for the accuracy of the translated content or its confidentiality.

6. Payment

The User will pay MYL either a monthly fee or annual fee in advance for the plan they have signed up to for the corresponding services they have subscribed to. Payment for the Services will be processed securely through Stripe, and the User will be billed automatically using the payment method stored on file with Stripe. The User agrees to keep a valid payment method on file with Stripe. Fees are non-refundable, except as required by law or as otherwise specifically permitted in this Agreement.

7. Effective Date

The start day of the Services is the “Effective Date” and will commence on the day that the purchase is made, and on the terms herein, and will run until either the service is cancelled by the User in accordance with Clause 11 or payment is unsuccessfully collected as per Clause 9.

8. End Day

If the User cancels the service in accordance with Clause 11 the Service will stop immediately and no further access to the system will be permitted and no further requests for payment will be made and the User acknowledges that they will not be entitled to any refund for unused credits.

9. Non-Payment

In the event that MYL is unable to successfully collect payment from the User at each renewal stage the Service will immediately stop and the User will no longer have access to the service until such time that the payment is successfully collected.

10. Term of Agreement

This Agreement shall commence on the Effective Date and shall remain in effect for an indefinite term, unless terminated by either Party in accordance with the provisions set forth in Clause 11 (Termination).

11. Termination

The User or MYL can cancel the Service at any time. The User can cancel by either clicking “Cancel My Subscription” or by emailing their Account Manager directly.

12. Confidentiality and Non-Solicitation

Both MYL and the User agree to keep this Agreement strictly confidential, and to refrain from divulging the contents hereof to any third party. This term shall continue in full force and effect after the expiration or termination of this Agreement or any renewals thereof. The User agrees that they will not under any circumstances solicit away any of MYL’s linguists that provide content creation services to them.

13. Copyright

The Copyright of the work edited by MYL shall be the Copyright of the User alone and shall not be used by MYL for any purpose other than editing.

14. Style Guide

The User has the option to provide MYL with a Style Guide or similar editing guidelines which MYL will follow at all times.

15. Service Usage Breakdown

The MYL system will keep a record of the User’s usage, which is accessible on login by the User.

16. Liability

The User understands and accepts that it has the final say on any work that MYL or its systems has undertaken on its behalf and agrees to hold MYL harmless in the event that any party should make a claim against the User based on any work that MYL or its systems may have undertaken on the User’s behalf.

17. Amendments to this Agreement

Both Parties agree that this Agreement forms the entire Agreement and supersedes any previous Agreements, and any change to this Agreement must be agreed in writing by both Parties.

18. Governing Law

This Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.

19. Agreement

By checking the checkbox, the User acknowledges that they have reviewed and accepted this Agreement. This Agreement is effective as of the date the checkbox is clicked (the “Effective Date”).
